These Terms and Conditions ("Terms") govern your use of the WPDesigns website (wpdesigns.co.uk) and the services provided by WPDesigns ("we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our website or services.
1Definitions
In these Terms, the following definitions apply:
- "Client" refers to any individual or business entity that engages WPDesigns for services
- "Services" refers to web design, web development, SEO, GEO, website maintenance, software development, AI solutions, and any other digital services offered by WPDesigns
- "Website" refers to wpdesigns.co.uk and all associated subdomains
- "Content" refers to all text, images, code, designs, and other materials created as part of our services
- "Project" refers to any agreed scope of work between WPDesigns and a Client
2Services and Scope of Work
All projects are undertaken based on a mutually agreed scope of work, which will be outlined in a proposal or statement of work document. Any changes to the agreed scope may result in additional charges and timeline adjustments.
We reserve the right to subcontract elements of the work to trusted third-party professionals where necessary, while maintaining overall responsibility for the quality of deliverables.
3Quotations and Pricing
All quotations provided are valid for 30 days from the date of issue unless otherwise stated. Prices are quoted in GBP (British Pounds Sterling) and are exclusive of VAT unless stated otherwise.
We reserve the right to adjust pricing if the scope of work changes significantly from the original brief. Any price changes will be communicated and agreed upon before additional work commences.
4Payment Terms
The following payment terms apply to all projects:
- A non-refundable deposit of 50% is required before work commences on any project
- The remaining balance is due upon project completion, prior to the final handover of files and launch
- For ongoing services (maintenance, SEO), payment is due monthly in advance
- Late payments may incur interest at a rate of 8% above the Bank of England base rate per annum
- We reserve the right to suspend services if payment is not received within 14 days of the due date
5Client Responsibilities
To ensure the successful delivery of projects, clients are expected to:
- Provide all necessary content, images, branding materials, and access credentials in a timely manner
- Respond to communications and review requests within 5 working days unless otherwise agreed
- Ensure that all content provided does not infringe on any third-party intellectual property rights
- Provide accurate and truthful information about their business and requirements
- Designate a single point of contact for project communications
6Intellectual Property
Upon full payment, the client receives ownership of the final website design and custom content created specifically for their project. This does not include ownership of any underlying frameworks, templates, plugins, or third-party code used in the development process.
WPDesigns retains the right to display the completed work in our portfolio and marketing materials unless otherwise agreed in writing. We also retain ownership of any proprietary tools, processes, or code libraries developed independently of the client project.
7Revisions and Amendments
Each project includes a specified number of revision rounds as outlined in the proposal. Additional revisions beyond the agreed scope will be charged at our standard hourly rate.
Revision requests must be submitted in writing (email) and consolidated into a single round where possible. We reserve the right to charge for revisions that contradict previously approved work.
8Project Timelines
Estimated timelines are provided in good faith based on the agreed scope of work. Delays caused by the client (late content delivery, delayed feedback, scope changes) may extend the project timeline accordingly.
We will communicate any anticipated delays promptly and work to minimise their impact on the overall project schedule.
9Cancellation and Refunds
If a client wishes to cancel a project after work has commenced, the deposit is non-refundable. Additional charges may apply for work already completed beyond the deposit amount.
If WPDesigns is unable to complete a project due to circumstances within our control, we will refund any payments made for work not yet delivered.
10Limitation of Liability
WPDesigns shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services or website. Our total liability for any claim shall not exceed the total amount paid by the client for the specific service giving rise to the claim.
We do not guarantee specific results from SEO, GEO, or marketing services, as search engine rankings and AI recommendations are influenced by many factors outside our control.
11Website Hosting and Maintenance
Where we provide hosting or maintenance services, we will make reasonable efforts to ensure uptime and security. However, we cannot guarantee 100% uptime and shall not be liable for losses arising from service interruptions caused by factors beyond our reasonable control.
Clients are responsible for maintaining their own backups of website content unless a backup service has been specifically agreed upon.
12Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation survives the termination of the business relationship.
13Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14Changes to These Terms
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "last updated" date. Continued use of our website or services after changes constitutes acceptance of the revised Terms.
